Supporting the Seller’s Journey - Insurcomm, Inc. recently acquired TheraClean Restoration.

Realizing that it is time to sell your business can be challenging. Len DiGiacomo and his company, TheraClean Restoration, are a great example of how our support helped him navigate the selling process and make confident, well-informed decisions when the time came to finalize the deal.  

History of TheraClean Restoration 

TheraClean Restoration, a full-service property damage restoration company based in New Jersey, was founded in 1994. During this time, the restoration industry was just beginning to emerge and TheraClean’s original owner saw an opportunity to transition into the field. For twenty years, TheraClean operated as part of a national franchise, gaining valuable industry knowledge and experience. In 2013, TheraClean left the franchise and became an independently owned and operated business. 

Len DiGiacomo joined TheraClean in 2007 as a controller and was later promoted to Vice President. In 2019, he purchased the business from the original owner, becoming the sole owner of TheraClean Restoration. The previous owner found the right partner in Len, as he loved the industry, the team, and the company itself. Len was committed to preserving the 18-year legacy he and his team had built. He successfully led TheraClean from 2019 until 2024 and then sold the company to Insurcomm, Inc. in November 2024.

Logistics of Selling

The decision to sell TheraClean was not made lightly. Len was approached several times a week by people interested in buying his company. As the offers came in, Len began to carefully consider the future for himself, his family, his staff, and the company. When speaking with potential buyers, Len had two priorities. First, he wanted to ensure his company and staff could continue to grow. Second, he wanted to remain involved in the business on a daily basis. He needed a buyer who would not only benefit the company but also, as he put it, “help me and my staff grow professionally, financially, and personally–beyond what we could achieve as a small company.” 

In May of 2023, Len contacted Mark Weiner, Vice President at The Beringer Group, to discuss the possibility of selling his business. Len was looking for advice on negotiating the terms of a potential sale, specifically the details of the offer letter and final purchase agreement. 

When asked about his time with Mark and The Beringer Group, Len says, “They added real value to the services that I needed.” He highlights how Mark’s negotiation skills secured better terms for him and, perhaps more importantly, helped him avoid potential pitfalls that he might have missed on his own. This support gave Len the confidence he needed, making it easier to finalize the deal when the time came. 

Len’s advice to business owners in a similar position is, “If you haven’t been through an engagement like this before, having an experienced advisor can make a huge difference when it comes time to securing the best deal for the owner, staff, and company” He emphasized that Beringer’s help with the contractual language and financial terms of the agreement was where they truly added value to his experience.  

What’s Next For Len?

Len will continue overseeing the New Jersey office, developing a growth plan, and preparing the organization for a smooth transition when the time comes for him to step down. What excites him most is the opportunity to watch his former company and employees continue to thrive and grow, knowing his eventual departure won’t burden the organization.
